Advisory Program Terms of Service

Thank you for your interest in shaping the future of Splashtop’s Endpoint Management solutions while gaining early access and building valuable industry connections.

As a member of the Splashtop Endpoint Management Advisory Program, you will:

1. Get Early Access to New Features
   Receive early access to beta versions and upcoming features of Splashtop's Endpoint Management tools (“Software”), allowing you to test, evaluate, and provide feedback before public release.

2. Influence Product Development
   Directly influence product roadmap decisions by sharing your insights, challenges, and suggestions with the Splashtop product team. Get exclusive access to Splashtop’s product managers, engineers, and support teams to discuss challenges, ideas, and solutions.

3. Enjoy Networking Opportunities
   Collaborate and network with other industry professionals and technology leaders, exchanging knowledge and best practices for endpoint management.

4. Recognition and Incentives
   Members are recognized for their contribution to shaping the product and may receive incentives such as discounted services, extended trial periods, or participation in Splashtop events and webinars.

Program Details

1. Program Eligibility
   The program is open to key customers, IT professionals, and technology partners using Splashtop Endpoint Management tools. Participants should have hands-on experience with endpoint management and a willingness to engage actively in the feedback process.

2. Commitment Expectations
   Members are expected to:

   1. Participate in regular feedback sessions, surveys, or meetings (frequency varies but generally quarterly).

   2. Test and evaluate beta versions or new features and provide detailed feedback.

   3. Share real-world use cases, challenges, and suggestions for improvement.

3. Participation in Advisory Meetings
   Members will be invited to participate in periodic virtual meetings or webinars with the Splashtop product team, where they will discuss product strategy, updates, and provide feedback on new features.

4. Feedback Channels
   Participants will have access to dedicated communication channels for submitting feedback, such as:

   1. Forms

   2. Direct email channels

   3. Exclusive surveys

5. Duration and Exit
   Participation in the program is typically reviewed on an annual basis. Members may choose to exit the program at any time, and Splashtop may extend invitations for continued participation based on the member’s level of engagement. Splashtop may terminate your participation anytime at its sole discretion.
   
   Upon expiration or termination of this Program for any reason, you shall immediately and permanently discontinue all use of the Software, return the Software (in substantially the same condition as it was received by you, if applicable), and all property (of whatever description or nature) belonging to Splashtop, purge all software components of the Software and any files relating to the Software from its computer systems and storage media or devices, and provide written certification that the foregoing obligations have been completed.

Terms and Conditions

1. You acknowledge and agree that you are subject to Splashtop's Terms of Service.

2. You shall not use the Software for any purpose other than as expressly permitted. Without limiting the foregoing, you shall not (i) use the Software for any commercial or other production purposes; (ii) copy, sublicense, rent, sell, lease or otherwise transfer or distribute the Software or any portion thereof to any person or entity; (iii) use, or allow others to use, the Software for the benefit of any third party; and (iv) modify or alter the Software or any portion thereof. The Software contains trade secrets of Splashtop, and your agrees that it shall not reverse engineer, disassemble, or decompile the Software, or otherwise attempt to derive the Software’s design, source code or underlying algorithms, file formats or programming or interoperability interfaces of the Software or its constituent parts (except to the extent that applicable law prohibits such reverse engineering restrictions).

3. Splashtop owns all right, title and interest in and to the Software, and all copyright, trade secret, trademark, patent, and other intellectual property rights therein. You agree that Splashtop shall have, and you hereby assigns to Splashtop, any and all right, title, and interest in and to any Feedback provided to Splashtop hereunder without the payment of any additional consideration therefore. Splashtop reserves all right, title and interest in and to the Software. No rights, title, ownership, interest, or license to the Software are granted, assigned, or transferred to you under or in connection with this Program, whether by implication, estoppel, or otherwise.

4. You acknowledge that, whether disclosed orally or in writing: (a) the Software, or any other related materials provided by Splashtop to you under this Program, including, without limitation, all computer programs, flowcharts, diagrams, manuals, schematics, development tools, specifications, design documents, marketing information, financial information, business plans and other information relating to the Software, including its functions, features, performance, bugs and appearance, and your possession or use of the Software, and any other information received by you from Splashtop and (b) any and all Feedback obtained or acquired by you in connection with the testing and evaluation of the Software shall be deemed “Confidential Information.”

5. You acknowledge and agree that the Confidential Information is furnished to you on a confidential and secret basis. You shall use reasonable efforts, consistent with the obligations set forth hereunder and the practices and procedures under which it protects its own most valuable proprietary information and materials, but in any case using no less than a reasonable degree of care, to protect the Software against any unauthorized or unlawful use or copying by any third party.

6. You acknowledge that the software is provided for testing and evaluation purposes only and is delivered “as is”. Splashtop does not warrant that the operation of the software will be uninterrupted, fault-tolerant, or error-free, that any software errors will be corrected, that the software will ever be completed or commercially available. Splashtop hereby disclaims all other express warranties or implied warranties of any kind, including warranties of merchantability and fitness for a particular purpose, and non-infringement of any rights.

7. Under no circumstances shall Splashtop be liable or obligated to you or any other person or entity with respect to any subject matter related to the software or this program, whether under contract, negligence, strict liability, or any other legal or equitable theory, for any consequential, punitive, or indirect damages, including lost profits, even if advised of the possibility of such damages. In no event shall Splashtop be liable for any issues arising from the delivery, use, or performance of the software or for any other matters related to this program.
